Merger can take place between two or more small companies or merger between Holding & Subsidiary Company .The Procedure of Amalgamation as prescribed in Section 232 involves getting approvals from Tribunal which is very costly and time consuming affair. it was felt that certain companies i`e small companies should not be required to undergo the lengthy process for seeking approval from Tribunal, Consequently a simplified procedure has been introduced under Section 233 of Companies Act 2013 . Now Small companies and Wholly owned Subsidiary companies need not apply to NCLT for approval for the scheme of Amalgamation.
